The Trade Desk ($TTD) has cut the exercise price on a big batch of underwater employee and executive stock options to $12.26, the stock's Oct 19 closing price, according to an 8-K filing. The eligible options cover up to 15,582,540 Class A shares, with original exercise prices between $3.69 and $122.59, the company's proxy says.
CEO Jeff Green's market-based performance options were left out, but executives, including Green, hold other options that get the lower price. If a holder's service ends for any reason other than being let go without cause, or the holder exercises, before April 19, 2027, the old price comes back.
Shareholders approved the plan at a special meeting, but Green holds 50.2% of the voting power through supervoting Class B shares, per the proxy. His shares accounted for about 98% of the votes in favor, and about 95% of votes cast by other shareholders were against it, according to VerityData, as the Wall Street Journal reported via Investing.com.
VerityData analyst Amy Pessetto called it a significant benefit to executives at the expense of shareholder accountability, per that report. The board says the repricing would help restore the options' retention value without adding to the company's overhang of equity awards.
Trade Desk shares were down 1.22% at $13.00 as of Oct 23, 4:00 PM ET.
