AMD will put $1 billion into Meta's stock offering as its Helios racks go into testing at Meta

AMD says its Helios systems are installed and being tested at Meta ahead of an expected broader rollout, and it will invest $1 billion in Meta's equity offering.

Why it matters: AMD plans to put $1 billion into Meta's stock offering, while Meta can earn up to 160 million AMD shares by buying AMD GPUs, tying the two companies closer together.

Tickers: AMD, META

Advanced Micro Devices ($AMD) said its Helios rack-scale AI systems are running at Meta ($META), and tucked a second headline into the same release: AMD will invest $1 billion in Meta's equity offering.

Running deserves a footnote. The release says the initial Helios systems are installed and being tested by Meta, with a broader deployment in the near future, which AMD lists as a forward-looking statement. AMD also says EPYC chips support Meta's Muse AI agent.

The money now runs both ways. In a February deal, Meta agreed to deploy up to 6 gigawatts of AMD Instinct GPUs, and AMD's 8-K shows it issued Meta a warrant for up to 160 million AMD shares at $0.01 each. Vesting is tied to Meta's GPU purchases and AMD stock-price thresholds rising to $600. Now AMD plans to buy Meta stock.

Separately, Nvidia has said it will invest $3 billion in Meta, CNBC reported. When Meta launched the offering on Monday, it said Nvidia, AMD and Broadcom had separately indicated interest in buying up to $5.0 billion of its common stock combined, and that those indications weren't binding. Meta has since upsized the common-stock part of the offering to $25.0 billion, from $22.5 billion.

“With Helios now running at Meta, we are taking that partnership to a new scale in the superintelligence era. Together, we are building and deploying infrastructure at gigawatt scale and shaping future generations of silicon, software and systems to enable Meta’s most ambitious superintelligence models and services.”
